Role Overview:
Handling secretarial portfolio of Group companies and assisting legal function for contract review and litigation.
Purpose of the Role:
To manage the secretarial tasks for the Forbes Marshall group companies, ensure timely compliances with all applicable laws and completion of quarterly secretarial audit. Review of legal contracts and negotiation. Monitoring the compliance tool and follow up for updates with different departments.
Roles and Responsibilities:
- Independently manage secretarial compliances, annual returns, form filing under the Companies Act.
- Responsible for sending notices, preparing agenda and co-ordination with key stakeholders for the Board and General meetings of the Group companies.
- Independently ensuring compliances for all companies through quarterly secretarial audit.
- Responsible for formation and incorporation of companies and matters related thereto.
- Assist in updation of legal compliance software.
- Providing management with updates on key amendments or changes to relevant statutes.
- Assisting in drafting and review of legal documents, contracts and civil and criminal litigation.
Qualification and Requirements:
- Company Secretary. LL.B. preferred.
- 4 to 7 years of work experience.
- Well versed with the provisions of Companies Act, Indian Contract Act and FEMA. Adept in Drafting and should have a problem solving attitude.
